Terms of Service

Coutari.ai is operated by Pairox Pty Ltd(ABN 82 154 477 728), a company registered in Australia, of 4 Lorikeet St, Glenwood NSW 2768, Australia. In these Terms, "Coutari.ai", "we", "us", and "our" mean Pairox Pty Ltd. These Terms are a binding agreement between you and Pairox Pty Ltd. By creating an account or using the platform, you accept them.
1. Who we are and what Coutari.ai is
Coutari.ai is a software platform that helps service professionals — solo providers, agencies, and venues — manage bookings, scheduling, client communication, and payments. Coutari.ai provides the software and payment facilitation; the underlying service you sell or buy (for example, a session, appointment, or venue booking) is delivered by the provider, not by Coutari.ai. We are not a party to the contract between a provider and their client, except as expressly stated in our Refund & Cancellation Policy.
2. Eligibility
You must be at least 18 years of age and able to form a binding contract to use Coutari.ai. Business accounts must be operated by someone authorised to bind that business. We do not knowingly collect personal information from individuals under 18; if we become aware that a user is under 18, we will terminate the account and delete the data in accordance with our Privacy Policy.
3. Accounts and security
You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Tell us immediately at support@coutari.ai if you suspect unauthorised use of your account.
4. Licence to use the platform
Subject to these Terms and your active subscription, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Coutari.ai platform for your own business purposes. This is a licence to use the service, not a sale or transfer of any ownership in the platform. Except as permitted by law, you may not:
- copy, modify, or create derivative works of the platform or its underlying software;
- resell, sublicense, rent, or otherwise make the platform available to third parties outside your own organisation, except as the features are designed to be used;
- reverse engineer, decompile, or attempt to extract the source code of the platform, except to the extent this restriction is prohibited by applicable law;
- remove or obscure any proprietary notices; or
- use the platform to build a competing product or to benchmark it without our prior written consent.
5. Acceptable use
You agree not to:
- break the law or infringe the rights of others;
- upload malware or attempt to compromise the platform's security;
- scrape, overload, or disrupt the platform or its infrastructure;
- misuse payment features or attempt fraudulent transactions; or
- use Coutari.ai to process prohibited or high-risk transactions.
You must also comply with the acceptable-use and prohibited-business rules of our payment processor, Stripe, where you take payments through the platform.
6. Subscriptions, fees, and payments
Paid plans (Solo, Agency, Venue) are billed in advance on a monthly or annual basis through our payment processor, Stripe. By subscribing, you authorise recurring charges until you cancel. You can cancel at any time; cancellation takes effect at the end of the current billing period and access continues until then. Fees already billed are non-refundable except as set out in our Refund & Cancellation Policy or as required by law. Taxes (such as GST, VAT, or sales tax) may be added where applicable.
Coutari.ai does notcurrently charge a platform commission on booking transactions between providers and their clients. If we introduce a commission in the future, we will update this and our Refund & Cancellation Policy and notify active account holders before it takes effect. Refunds, cancellations, and any platform fees are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference.
7. Providers taking payments
If you are a provider taking payments through Coutari.ai, you additionally agree to Stripe's Connected Account Agreement, to publish accurate service and pricing information, to honour confirmed bookings, and to handle your clients' personal data lawfully. You are responsible for the services you provide and for any refunds, cancellations, or disputes relating to your own bookings, subject to our Refund & Cancellation Policy and applicable consumer law.
8. Your content and intellectual property
You retain ownership of the content you upload. You grant Coutari.ai a licence to host, process, and display that content as needed to operate the service for you. Coutari.ai and its software, trademarks (including "Coutari.ai"), and design remain the property of Pairox Pty Ltd and its licensors.
9. Third-party services
The platform integrates third-party services such as Stripe (payments) and Supabase (data infrastructure), together with the other providers listed in our Privacy Policy. Your use of connected third-party accounts (for example, a Google or Microsoft calendar) is governed by those providers' own terms.
10. Service availability and changes
We aim for high availability but do not guarantee uninterrupted or error-free service. We may modify, add, or discontinue features with reasonable notice; where a material change affects paid features, we will give advance notice to active account holders.
11. Warranties and disclaimers
To the maximum extent permitted by law, the platform is provided "as is" and "as available" and we disclaim implied warranties. Nothing in these Terms excludes, restricts, or modifies any right or guarantee that cannot be excluded under applicable consumer law, including the Australian Consumer Law, the New Zealand Consumer Guarantees Act 1993, and mandatory local consumer protections in your jurisdiction.
12. Limitation of liability
To the maximum extent permitted by law, and subject to any rights you have under applicable consumer law, neither party is liable for indirect, incidental, or consequential loss, and our aggregate liability arising out of or in connection with the platform is limited to the fees you paid us in the 12 months before the event giving rise to the claim. Nothing in this section limits liability that cannot be limited by law.
13. Suspension and termination
We may suspend or terminate accounts for breach of these Terms, non-payment, fraud, or legal risk. You may close your account at any time. On termination, our Refund & Cancellation Policy governs any amounts owed either way, and sections that by their nature should survive (including intellectual property, disclaimers, limitation of liability, and governing law) will continue to apply.
14. Governing law and disputes
These Terms are governed by the laws of New South Wales, Australia, and the courts of New South Wales have non-exclusive jurisdiction over any dispute arising out of or relating to them. This does not deprive you of the protection of mandatory consumer-protection laws in your place of residence. If you are in India, the Digital Personal Data Protection Act, 2023 applies to our processing of your personal data as described in our Privacy Policy; India is not the governing law of these Terms.
15. Changes to these Terms
We may update these Terms from time to time. We will post changes on this page and update the effective date; where changes are material, we will notify active account holders at least 14 days before they take effect. By continuing to use the platform after a change takes effect, you agree to the updated Terms.
